Independent Contractor Agreement

This Independent Contractor Agreement ("Agreement") governs the relationship between Hyper Clean Texas LLC ("Company," "we," "us") and independent cleaning contractors ("Contractor," "you") who provide services to our customers.
1. Independent Contractor Status
You are an independent contractor, not an employee. This means:
- You control how, when, and where you work
- You choose which jobs to accept or decline
- You are responsible for your own taxes (1099-NEC issued annually if you earn $600+)
- You are not entitled to employee benefits (health insurance, paid leave, unemployment, workers' compensation)
- You may work for other companies or clients simultaneously
- You provide your own cleaning supplies and equipment
2. Onboarding Requirements
To become an active contractor, you must complete:
- Personality Assessment — Short quiz to ensure fit
- Background Check — Via ClearChecks ($12.50, reimbursed after 3rd booking)
- Identity Verification — Via Stripe Identity (government ID check)
- This Agreement — Sign via Google Form with email verification
- Payout Setup — Stripe Connect account (includes tax info collection)
3. Background Check Disclosure
Fair Credit Reporting Act (FCRA) Notice:
As part of the application process, you will obtain a consumer report about yourself from ClearChecks (backgroundchecks.com). This report may include:
- Criminal history records (county, state, federal)
- Sex offender registry searches
- Social Security number verification
- Identity verification
Cost & Reimbursement:
- Background check fee: $12.50 (paid by you during onboarding)
- Reimbursement: Added to your payout after completing your 3rd booking
Your Rights:
- You have the right to request a copy of your report
- You have the right to dispute incomplete or inaccurate information
- If we take adverse action based on your report, we will provide notice

4. Liability & Responsibility
As an independent contractor, you are responsible for:
- Property Damage — Any damage you cause to customer property during service
- Personal Injury — Injuries you may cause or sustain while performing services
- Quality of Work — Ensuring professional-grade cleaning services
Important: Hyper Clean Texas LLC maintains business liability coverage for its own operations but does not provide coverage for contractor negligence. Customers may pursue you directly for any damages caused during service.
Optional Insurance: While not required, you may choose to obtain your own liability insurance for added protection. Providers like Thimble or Next Insurance offer affordable options starting around $15-25/month.
5. Job Assignments & Payment
How It Works:
- You receive job offers via SMS with details (location, type, pay, date/time)
- You accept or decline each job independently — no minimum required
- Set your own availability, service areas, and job preferences
- Typical pay: $80-150 per standard cleaning (2-3 hours)
Payment Terms:
- Payment via Stripe Connect — same-day or next-day deposits available
- Stripe collects your tax information (SSN/EIN) during setup
- Form 1099-NEC issued annually via Stripe if you earn $600+
- You are responsible for tracking income and paying self-employment taxes
6. Service Standards
All contractors must:
- Provide high-quality, professional cleaning services
- Arrive on time and communicate proactively if delayed
- Treat customer property with respect and care
- Follow customer instructions and job specifications
- Take before/after photos for quality verification
- Maintain professional conduct and appearance
- Have reliable transportation to job sites
7. SMS Communication
By providing your mobile number, you consent to receive:
- Application and onboarding updates
- Job offers and assignment details
- Customer instructions and job reminders
- Payment confirmations
- Compliance reminders

8. Non-Solicitation
During this Agreement and for 12 months after your last job through Hyper Clean Texas, you agree not to:
- Directly or indirectly solicit customers introduced through our platform
- Provide cleaning services to these customers outside our platform
- Share customer contact information with competing services
Violation: Breach of this clause may result in liquidated damages equal to 50% of annual revenue from the solicited client(s).
9. Confidentiality
You agree to:
- Keep customer information confidential (addresses, access codes, personal details)
- Not photograph customers or their property beyond required job documentation
- Not share customer information with third parties
- Delete customer contact information after job completion
This obligation survives termination of this Agreement.
10. Deactivation & Termination
Hyper Clean Texas may deactivate your account for:
- Repeated customer complaints or quality issues
- No-shows or last-minute cancellations without notice
- Unprofessional conduct or policy violations
- Failed background check
- Inactivity for 90+ days
- Violation of non-solicitation or confidentiality clauses
You may terminate this Agreement at any time by notifying us. Upon termination, complete any accepted jobs or arrange coverage.
11. Indemnification
You agree to indemnify and hold harmless Hyper Clean Texas LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Your performance of services
- Your breach of this Agreement
- Your violation of any law or third-party rights
- Any negligent or intentional misconduct
- Any damage to customer property
12. Dispute Resolution
Any disputes will be resolved through:
- Good Faith Negotiation — Contact us first to resolve informally
- Mediation — If negotiation fails, mutually agreed mediator in Houston or Dallas
- Binding Arbitration — Under AAA rules, in Harris County (Houston) or Dallas County, Texas
Class Action Waiver: Disputes will be resolved individually, not as part of any class action.
13. Governing Law
This Agreement is governed by the laws of the State of Texas. Venue is Harris County (Houston) or Dallas County, Texas.
14. Entire Agreement
This Agreement constitutes the entire agreement between you and Hyper Clean Texas LLC regarding your contractor relationship and supersedes all prior agreements and understandings.
15. Modifications
We may update this Agreement with 30 days' notice via SMS or email. Continued activity after notice constitutes acceptance.

Electronic Signature & Acceptance
By completing the IC Agreement form during onboarding, you acknowledge that:
- You have read and understand all terms of this Agreement
- You agree to be bound by this Agreement
- You understand you are an independent contractor, not an employee
- You understand you are responsible for any damage caused during service
- You agree to the 12-month non-solicitation clause
- Your electronic signature is legally binding
